Chapter 1 General Provisions
Article 1: In order to promote the healthy development of public institutions, safeguard their legitimate rights and interests, and promote harmony among all parties in society, this Articles of Association is formulated in accordance with the Interim Regulations on the Registration and Management of Public Institutions, the Implementation Rules for the Interim Regulations on the Registration and Management of Public Institutions, and relevant laws and regulations.
The full name of the second unit is the Memorial Hall of the Crossing of the Yangtze River Campaign.
Article 3: Unit Address: No. 299 Yungu Road, Binhu New District, Baohe District, Hefei City.
Article 4: This unit is a fully funded public institution approved by the Hefei Municipal People's Government and is under the management of the Hefei Municipal Bureau of Culture, Radio, Television, Press and Publication.
Article 5: The establishment, change, and cancellation of a unit shall be applied for and processed in accordance with the provisions of the Interim Regulations on the Administration of Registration of Public Institutions and the Implementation Rules of the Interim Regulations on the Administration of Registration of Public Institutions to the registration management department of public institutions in the jurisdiction.
Chapter 2: Purpose and Business Scope of Public Institutions
Article 6: The purpose of the unit is to provide services such as exhibition display, explanation, and revolutionary history education to the public.
Article 7: The business scope of the unit includes cultural relic collection, exhibition, and research on revolutionary history.
Chapter 3 Organizational Structure and Legal Representative of Public Institutions
Article 8: This unit was established with the approval of the "Reply on Agreeing to Establish the Memorial Hall of the Crossing of the Yangtze River Campaign" issued by the Economic Cooperation Compilation Office [2013] No. 31. It has a staffing of 20 people and currently has 6 people.
Article 9: On February 28, 2013, in accordance with the Notice on the Work Positions of Comrade Cheng Hong issued by the Hewen Group [2013] No. 45, Cheng Hong was appointed as the person in charge of this unit to oversee the overall work.
Article 10: The legal representative of this unit is a natural person with full capacity for civil conduct, the main administrative person in charge of this unit, and the person responsible for carrying out activities, exercising civil rights, and fulfilling civil obligations on behalf of this unit.
Article 11: The proposed legal representative of this unit shall obtain the qualification of legal representative of a public institution only after being approved and registered by the registration management department of the public institution in this jurisdiction.
Chapter 4 Principles for Asset Management and Use of Public Institutions
Article 12: In accordance with the Financial Rules for Public Institutions, the Accounting Standards for Public Institutions, and relevant financial and economic regulations, conscientiously carry out the daily management of the assets of the unit, establish and improve management systems, and implement the responsibility of asset management to relevant departments and individuals.
Article 13: Units shall conduct regular inspections of the state-owned assets they possess and use, ensuring that their assets are clear, their accounts match, their cards match, and their accounts match, in order to prevent asset loss.
Article 14: Optimize asset allocation, make full use of resources, and maximize the efficiency of asset utilization.
Article 15: Asset management must comply with the financial management system stipulated by the state, and be used for the business scope and development of the enterprise as stipulated in the unit's articles of association. Surplus shall be handled in accordance with relevant national regulations.
Chapter 5: Procedures for Termination of Public Institutions and Measures for Handling Assets after Termination
Article 16: If this unit is divided, merged, or dissolved in accordance with relevant regulations due to the disappearance of its purpose business or changes in the nature of its business, it shall go to the registration and management authority of the public institution to handle the cancellation registration.
Article 17: Prior to applying for cancellation of registration, this unit shall establish a liquidation organization under the guidance of the organizing unit and other relevant authorities to clear debts and handle aftermath matters, submit a liquidation report, and complete the liquidation work.
During the liquidation period, our unit shall not engage in activities other than liquidation.
Article 18: The assets of this unit after termination shall be reviewed by the competent department and approved by the state-owned asset management department and the finance department before being properly disposed of in accordance with relevant regulations.
Chapter 6 Procedure for Amending the Articles of Association of Public Institutions
Article 19: The articles of association of this unit shall be drafted or amended by this unit, and shall come into effect upon the consent of the organizing unit.
Chapter 7 Supplementary Provisions
Article 20: This Articles of Association shall be formulated and interpreted by our unit.
Article 21: This Articles of Association shall come into effect upon the signature and seal of the main person in charge of the unit and the organizing unit.
Article 22: This Articles of Association is made in triplicate. One copy each for our unit and the organizing unit, and one copy to the registration and management department of the public institution.
